referred to as “Dr. Vitamins” or “the Brand”) and outline the rules, obligations, and

10. Termination
10.1 Termination Rights
We reserve the right to suspend or terminate your access to our Services at any time,
with or without notice, if we believe you have violated any provision of these Terms or
engaged in any fraudulent, illegal, or unauthorized activity.

10.2 Effect of Termination
Upon termination, your right to use our Services ceases immediately. All provisions of
these Terms that by their nature should survive termination (e.g., intellectual property,
disclaimers, limitation of liability, and indemnification) will remain in effect.

11. Governing Law & Dispute Resolution
11.1 Governing Law
These Terms and any non-contractual obligations arising hereunder are governed by
and construed in accordance with the laws of India, without giving effect to any conflict
of law principles.
11.2 Dispute Resolution Process
1. Initial Attempt at Amicable Settlement
o If a dispute, controversy, or claim (“Dispute”) arises out of or in
connection with these Terms, the parties shall first make a genuine effort
to resolve it amicably through direct discussions within 30 (thirty) days of
either party notifying the other of the Dispute in writing.

2. Arbitration
o If the Dispute remains unresolved after the 30-day period, either party
may refer the matter to arbitration pursuant to the Indian Arbitration and
Conciliation Act, 1996, including any amendments or re-enactments
thereof.
3. Number of Arbitrators
o By default, the Dispute shall be referred to one (1) arbitrator, mutually
appointed by the parties.
o Option for Three (3) Arbitrators: In the case of a high-value or complex
dispute (as agreed in writing by the parties or determined by the
size/nature of the claim), the Dispute shall be referred to a panel of three
(3) arbitrators. Each party shall nominate one arbitrator, and the two
nominated arbitrators shall jointly appoint the third arbitrator. If the two
arbitrators fail to appoint the third arbitrator within 15 (fifteen) days, the
appointment shall be made by the competent court in Aligarh, Uttar
Pradesh, as per the Indian Arbitration and Conciliation Act.

4. Seat & Venue of Arbitration

o The seat and venue of arbitration shall be Aligarh, Uttar Pradesh, and the
arbitration proceedings shall be conducted in English (or Hindi, if both
parties mutually agree).

5. Arbitral Award
o The award passed by the arbitrator(s) shall be final and binding on the
parties. It may be enforced in any court of competent jurisdiction in
accordance with the Indian Arbitration and Conciliation Act, 1996. The
cost of the arbitration, including arbitrator fees, shall be determined by
the arbitrator(s) in the award or otherwise shared as agreed by the parties.

6. Confidentiality
o All matters relating to the arbitration, including the proceedings,
materials, and arbitral award, shall be kept strictly confidential. Neither
party shall disclose or involve media or public forums, unless required by
law or court order.

11.3 Jurisdiction
In the event that arbitration is not applicable or necessary (for example, to enforce an
arbitral award or seek interim relief), the courts of competent jurisdiction at Aligarh,
Uttar Pradesh, shall have exclusive jurisdiction. Each party irrevocably submits to the
jurisdiction of such courts for any ancillary or enforcement-related proceedings.

12. Miscellaneous
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein,
constitute the entire agreement between you and us regarding your use of the Services.
12.2 Severability
If any provision of these Terms is found unenforceable, the remainder shall remain in full
force and effect.
12.3 Waiver
No waiver of any breach or default under these Terms shall be deemed a waiver of any
subsequent breach or default. Failure to enforce any right or provision of these Terms
does not constitute a waiver.
12.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without our

prior written consent. We may assign our rights and obligations to any affiliate,
subsidiary, or successor in the event of a merger, acquisition, or transfer of assets.
12.5 Force Majeure
We are not liable for any delay or failure to perform any obligation under these Terms
where such delay or failure results from events beyond our reasonable control,
including but not limited to natural disasters, strikes, lockdowns, governmental actions,
or other force majeure events.
